Terms of Service

1. Acceptance, Operator, and Eligibility

Effective and last updated: August 25, 2026. 120365 Tools is the operator and contracting party for the Services. By accessing, registering, recharging, using Coins, or otherwise using the website, account system, online tools, or AI features, you confirm that you have read and agree to these Terms and the Privacy Policy. If you do not agree, stop using the Services. The Services are intended primarily for users aged 18 or older. A person under 18 may use them only with a guardian's prior consent and supervision; the guardian must review these Terms and is responsible for account activity and payments. If you use the Services for an organization, you represent that you have authority to bind it to these Terms.

2. Service Description and Digital Delivery

120365 Tools provides digitally delivered tools and software services over the Internet, which may include data and file processing, AI generation and analysis, information retrieval, visualization, account entitlements, and other features shown on the relevant page. Digital services are generally delivered immediately when account access is enabled, Coins are credited, or a task is created successfully. Features, quotas, fees, output formats, and regional availability are those displayed at the time of use or checkout. Some features depend on third-party AI models, cloud services, maps, identity providers, email systems, and other upstream providers whose performance, content, and availability may affect the Services. We may add, change, suspend, or discontinue features for security, legal, capacity, or product reasons.

3. Account Registration and Security

Provide accurate, complete, and current registration and billing information. Protect passwords, verification codes, sessions, API credentials, and third-party sign-in authorizations, and take responsibility for actions under your account. You may not share, rent, sell, or transfer an account; register accounts in bulk; impersonate another person; or permit unauthorized third-party use. Contact help@120365.org immediately if you discover account compromise, an unauthorized charge, or another security risk. We may require renewed verification, limit high-risk operations, or temporarily freeze an account. If you register for a company or organization, you warrant that you have the necessary authority.

4. Coins, One-Time Recharge, and Payment Channels

The Services use a one-time recharge and entitlement-consumption model. We currently do not offer subscriptions, automatic renewal, or automatic recharge. Each recharge is a separate transaction that you confirm at checkout. Submitting payment authorizes the selected payment channel to charge only the displayed amount and currency for that transaction and does not authorize future charges. Available channels may include Dodo Payments, PayPal, cryptocurrency payments, and other channels later displayed at checkout, depending on region, configuration, and availability. Coins, points, and similar balances are digital service entitlements usable only for designated platform features. They are not legal tender, deposits, securities, or transferable property, have no cash value outside the platform, and may not be redeemed, resold, or transferred unless required by law or stated by us in writing. Purchased Coins have no fixed expiration date; promotional, gifted, or campaign entitlements may expire under rules clearly shown when granted. You may be responsible for taxes, exchange rates, network fees, and provider charges.

5. Refunds, Missing Credit, and Billing Disputes

Because digital entitlements are delivered immediately after payment confirmation, all recharges are generally non-refundable, and an unused balance does not automatically create a refund right. A refund, replacement credit, or correction may be available only for a duplicate charge; payment successfully collected without delivery of the promised Coins or service; our express written approval; or a mandatory right under applicable law. Consumed Coins and losses caused by a user entering an incorrect address or by network conditions, blockchain confirmation, exchange-rate movement, or provider rules outside our responsibility are normally non-refundable. If a feature clearly promises before submission that Coins or points will be returned after final task failure, that feature's rule applies. Before raising a dispute with a bank or payment provider, contact help@120365.org with the account email, order number, transaction identifier, and description so we can investigate. Fraudulent chargebacks, payment fraud, or bypassing billing controls may result in account restrictions. We may correct obvious pricing, balance, or ledger errors and retain necessary audit records. Coins become unavailable after account deletion or termination for breach unless law requires otherwise.

6. User Content, AI Inputs and Outputs, and Intellectual Property

You retain rights in inputs you are entitled to submit and in outputs that applicable law assigns to you. You represent that you have all rights and permissions needed to submit, process, and publish the relevant content. You grant 120365 Tools a worldwide, non-exclusive, royalty-free license limited to what is necessary to transmit, store, transform, review, and display content to provide the requested Services, maintain security, and troubleshoot. For content you intentionally publish, the license also covers display and promotion within the Services. Unless you explicitly consent, we do not by default use non-public inputs to train our own or a third party's general-purpose AI models. AI outputs may resemble other outputs, contain errors, lack originality, or be ineligible for registration. We do not warrant that an output is non-infringing or fit for a particular purpose; you must review it before use or publication and accept responsibility for the result.

7. Acceptable Use and Third-Party Services

You may not use the Services for illegal, fraudulent, infringing, hateful, harassing, sexually explicit, child-exploitative, deceptive deepfake, malware, phishing, privacy-invasive, or otherwise harmful activity. You may not locate, identify, monitor, or disclose another person's information without authorization; intrude into, scan, stress, disrupt, reverse-engineer destructively, or bypass access controls, quotas, risk controls, content review, or payment mechanisms; register accounts in bulk; scrape non-public data; send spam; resell access; or systematically extract inputs, outputs, or model responses to train, distill, benchmark, or develop a model that competes with the Services. Do not present AI content as the conclusion of a qualified doctor, lawyer, financial adviser, or other professional where harm may result. We may use automated or human review to restrict, reject, or remove suspected violations and may suspend or terminate accounts. Third-party identity, model, payment, Cloudflare, map, link, download, and other integrated features are independently operated under their own terms and privacy policies.

8. Availability and Disclaimers

The Services are provided on an 'as is' and 'as available' basis. To the maximum extent permitted by law, we disclaim express and implied warranties of merchantability, fitness for a particular purpose, non-infringement, continuous availability, complete security, accuracy, timeliness, and error-free operation. Maintenance, upgrades, capacity limits, security incidents, third-party failure, network or blockchain congestion, force majeure, and legal requirements may cause delay, interruption, or discontinuation. AI analysis, location inference, aggregated data, research reports, prices, third-party information, and user submissions are general information and decision support only, may be inaccurate, outdated, or biased, and are not legal, medical, investment, financial, security, or other professional advice. They must not be the sole or definitive basis for high-risk decisions or judgments about a person's identity, creditworthiness, character, or conduct. Verify important information, maintain backups, and accept responsibility for your use.

9. Suspension, Termination, and Limitation of Liability

You may stop using the Services at any time or request account deletion through available procedures. We may reasonably restrict, suspend, or terminate access if you breach these Terms, are suspected of fraud, create a security or legal risk, remain inactive for an extended period, or if the relevant Service is discontinued, with notice when appropriate. Data required for transactions, audits, security, disputes, or law is not deleted immediately. To the maximum extent permitted by law, 120365 Tools, its operators, affiliates, and providers are not liable for indirect, incidental, special, punitive, or consequential losses, including loss of profit, revenue, goodwill, data, business opportunity, or use. For liability that cannot lawfully be excluded, our aggregate liability is limited to the amount you actually paid for the relevant Service during the 12 months before the event giving rise to the claim; liability for free Services is limited to the minimum extent permitted by law. Mandatory consumer rights remain unaffected.

10. General Terms, Disputes, and Contact

These Terms and the Privacy Policy form the principal agreement between you and us regarding the Services. Billing, quota, refund, or campaign rules clearly shown on a specific feature page supplement them. If a provision is invalid, the remaining provisions continue in effect, and failure to enforce a right is not a waiver. We may update these Terms for legal, functional, security, or operational reasons. Where reasonably possible, we will give at least 14 days' notice of a material change through a page announcement, in-service notice, or registered email; continued use after the update takes effect constitutes acceptance. Disputes should first be raised through help@120365.org, and both parties should use reasonable efforts to resolve them within 30 days. If unresolved, the dispute is subject to applicable law and the competent courts where the actual operator of 120365 Tools is located, without limiting your right under mandatory local consumer law to complain to a regulator or seek relief in another court lawfully available to you.
