Terms of Service

1. Acceptance, Accounts, and Changes

Effective date: July 18, 2026. By accessing, registering for, or using 120365 Tools, you acknowledge that you have read and agree to these Terms and the Privacy Policy. If you do not agree, stop using the Services. You must have the legal capacity required in your jurisdiction; users below the applicable age of legal capacity may use the Services only with a guardian's consent and supervision. Provide accurate registration information, protect passwords, verification codes, and third-party authorizations, and take responsibility for activity under your account. Notify us promptly through the Contact Us page if you suspect unauthorized access or another security risk. Unless expressly permitted, you may not transfer, rent, sell, or impersonate an account. We may update these Terms for legal, functional, or operational reasons. We will provide reasonable notice of material changes, and continued use after the effective date constitutes acceptance of the updated Terms.

2. Coins, Scores, Paid Services, and Refunds

Some features may consume Coins or scores or require payment. Coins and scores are digital service entitlements usable only for designated features on this platform; they are not legal tender, deposits, securities, or transferable property, have no cash value outside the platform, and may not be redeemed, resold, or transferred unless required by law or expressly stated by us in writing. Prices, exchange ratios, consumption rules, expiration, and included features are those displayed at the time of purchase or use. You may be responsible for taxes, exchange rates, and third-party payment fees. Use only authorized payment methods and do not initiate fraudulent chargebacks or bypass billing controls. Completed purchases are generally non-refundable except where required by law, stated on the payment page, caused by duplicate charges or undelivered service, or expressly approved by us. If a feature expressly promises an automatic Coin or score refund when a task fails, that feature's rules apply. Payment providers may independently collect and process payment information under their own terms. We may correct obvious pricing, balance, or ledger errors and retain necessary transaction and audit records.

3. Acceptable Use, User Content, and Third Parties

Use the Services only for lawful, genuine purposes consistent with each feature. You must not: (1) upload, generate, distribute, or process illegal, fraudulent, infringing, hateful, harassing, sexually explicit, malicious, privacy-invasive, or harmful content; (2) collect, locate, identify, monitor, or disclose another person's personal information without authorization; (3) intrude into, scan, stress, disrupt, or bypass access controls, quotas, risk controls, or payment mechanisms; (4) use bots for bulk registration, scrape non-public data, send spam, resell the Services, or conduct other unauthorized commercial activity; or (5) impersonate others, fabricate sources or evidence, or violate intellectual property or other rights. You retain rights in lawful User Content and grant us a worldwide, non-exclusive, royalty-free license only as necessary to operate, store, transform, review, display, and promote content you choose to publish publicly. This license ends within a reasonable technical period after deletion, except for content lawfully referenced by others, retained by law, or remaining in backups. You represent that you have the rights needed to submit and authorize processing of the content. We may use automated or human review to restrict, reject, or remove suspected violations and may suspend or terminate related accounts. Google, GitHub, QQ, Cloudflare, maps, payments, and other third-party features are independently operated and are also governed by their providers' terms and privacy policies.

4. Service Availability, AI, and Information Disclaimers

The Services are provided on an 'as is' and 'as available' basis. To the maximum extent permitted by law, we disclaim express and implied warranties of merchantability, fitness for a particular purpose, non-infringement, continuous availability, complete security, accuracy, and error-free operation. We may suspend, change, or discontinue any feature because of maintenance, upgrades, capacity, security events, third-party failures, or force majeure. AI analyses, location guesses, aggregated data, research reports, prices, third-party information, and user submissions may be incomplete, outdated, biased, or incorrect. They are for general information and decision support only, are not legal, medical, investment, financial, security, or other professional advice, and must not be treated as a definitive judgment about a person's identity, character, or conduct or used as the sole basis for high-risk decisions. Verify important information and assume responsibility for your use. Third-party websites, downloads, goods, and services reached through the Services are outside our control, and we are not responsible for their content, availability, transactions, or losses. Back up important data and do not use the Services as your only storage or evidence source.

5. Termination, Liability, and General Terms

You may stop using the Services at any time or request account deletion through available procedures. We may reasonably restrict, suspend, or terminate access if you violate these Terms, create legal or security risk, remain inactive for an extended period, or if a Service is discontinued, with notice when appropriate. Data that must be retained by law is not deleted immediately upon termination. To the maximum extent permitted by law, 120365 Tools and its operators, affiliates, and providers are not liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, revenue, goodwill, data, business opportunities, or use. For liability that cannot lawfully be excluded, our aggregate liability is limited to the amount you actually paid for the relevant Service during the twelve months before the event giving rise to the claim; for free Services, liability is limited to the minimum extent permitted by law. Some jurisdictions do not permit certain exclusions, so these limits may not fully apply to you. To the extent permitted by law, you are responsible for third-party claims caused by your unlawful use, User Content, or breach of these Terms. These Terms and the Privacy Policy form the entire agreement regarding the Services. An invalid provision does not affect the remaining provisions, and failure to enforce a right is not a waiver. Disputes should first be addressed through the Contact Us page in good faith and are governed by the law and competent courts of the operator's location, without limiting mandatory consumer protections available to you.
